MANZO PIEDMONTESE AFFILIATE MARKETING AGREEMENT This Affiliate Marketing Agreement ("Agreement") is entered into as of the date of acceptance by the Affiliate ("Effective Date") by and between Manzo Piedmontese ("Manzo"), a bespoke luxury beef company, and the undersigned individual or entity ("Affiliate"). 1. Program Overview Manzo offers an affiliate marketing program ("Program") running from the Effective Date through December 31, 2025 ("Program Term"). Affiliates may refer customers to Manzo and earn commissions in accordance with the terms set forth herein. 2. Eligibility & Enrollment 2.1. Participation in the Program is subject to approval by Manzo. 2.2. Affiliates must be 18 years or older and have the legal capacity to enter into this Agreement. 2.3. Manzo reserves the right to approve or deny any application for the Program at its sole discretion. 3. Referral & Commission Structure 3.1. Affiliates shall earn commissions only for successful referrals resulting in a qualifying purchase of a half or whole cow order ("Eligible Purchase"). 3.2. Commissions are only earned once the referred customer has completed payment in full. 4. Payment Terms 4.1. Commissions will be paid out quarterly, based on Eligible Purchases finalized within the previous quarter. 4.2. Payments will be made via check. 4.3. Any disputes regarding commission payments must be submitted in writing within 30 days of payment issuance. 5. Affiliate Responsibilities 5.1. The Affiliate agrees to market and promote Manzo's products in an ethical and legal manner, adhering to all applicable laws and regulations. 5.2. The Affiliate may not make false or misleading claims about Manzo’s products or engage in deceptive marketing practices. 5.3. The Affiliate shall not bid on or purchase search engine keywords that include "Manzo Piedmontese" or any related trademarks without prior written approval. 6. Termination 6.1. Manzo reserves the right to terminate this Agreement at any time, with or without cause, upon written notice. 6.2. If the Affiliate engages in fraudulent activity, violates any term of this Agreement, or misrepresents Manzo, their participation may be terminated immediately without notice. 6.3. Upon termination, unpaid commissions for pending transactions shall be forfeited if termination was due to a breach of this Agreement. 7. Limitation of Liability 7.1. Manzo shall not be liable for any indirect, incidental, or consequential damages arising from the Affiliate’s participation in the Program. 7.2. The total liability of Manzo under this Agreement shall not exceed the amount of commissions paid to the Affiliate in the preceding 12-month period. 8. Confidentiality 8.1. The Affiliate agrees to maintain the confidentiality of any proprietary or sensitive information received during participation in the Program. 8.2. This obligation shall survive the termination of this Agreement. 9. Governing Law & Dispute Resolution 9.1. This Agreement shall be governed by and construed in accordance with the laws of the State of Washington. 9.2. Any disputes arising from this Agreement shall be resolved through mediation before resorting to litigation. 10. Miscellaneous 10.1. This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or representations. 10.2. No modification of this Agreement shall be valid unless made in writing and signed by both parties.
